Terms and Conditions

Important: These Terms and Conditions ("Terms") form a legally binding agreement between you ("Customer", "you", "your") and Pagie ABN [69 699 617 164] ("Pagie", "we", "us", "our"). By accessing our website, submitting a pre-flight check form, making any payment, or using our services, you agree to these Terms in full. If you do not agree, do not use our services.
We strongly recommend you seek independent legal advice before accepting these Terms.
1. Our Services
Pagie provides micro-website design, build, hosting, and related services for local Australian businesses ("Services"). Services typically include:
- One-off customisation and build of a template-based single-page microsite.
- Basic copywriting assistance (or use of your supplied content).
- Placement of your logo, images, and business details.
- Secure cloud hosting, SSL certificate, and basic technical support.
- Domain configuration assistance (domain registration is your responsibility unless we explicitly agree otherwise in writing).All Services are provided on a non-exclusive, non-transferable basis for your internal business use only. We do not guarantee specific search engine rankings, lead volumes, or business outcomes.
Human-built only: We do not use AI for core design/build work.2. Orders and AcceptanceYou initiate the process via our pre-flight check or similar form. Submission does not create a binding contract until we confirm acceptance in writing (email is sufficient) and receive the Setup Fee.
We reserve the right to refuse any order for any reason (including if your business type or content violates these Terms or applicable laws).
All prices are in Australian Dollars (AUD) and inclusive of GST unless stated otherwise.3. Fees and PaymentSetup Fee: $210 (one-off, non-refundable except as expressly stated below).
Monthly Subscription: $26 per month (billed in advance, auto-renews until cancelled).
Additional custom work (major revisions beyond scope, extra pages, advanced features, etc.) will be quoted separately and requires written agreement.
Payments are processed via [Stripe/PayPal/etc.]. You authorise us to charge the nominated payment method for all fees as they fall due.
Late payments: We may suspend Services immediately. Overdue amounts accrue interest at 1.5% per month (or the maximum permitted by law).
No refunds on Setup Fees once build has commenced. Monthly fees are non-refundable for the billed period. Prorated refunds are at our sole discretion.Price changes: We may adjust Monthly Subscription fees with 30 days' notice. Continued use after the effective date constitutes acceptance.4. Your Obligations and ResponsibilitiesYou warrant and agree that:
All content, images, logos, text, and materials you supply ("Customer Content") are owned by you or properly licensed, and do not infringe any third-party intellectual property, privacy, or other rights.
Customer Content complies with all Australian laws (including but not limited to the Competition and Consumer Act 2010 (Cth), spam laws, privacy laws, and advertising standards).
Your business holds all required licences, insurances, and authorisations.
You will not use the site for unlawful purposes, adult services (unless explicitly permitted), misleading claims, or any high-risk activities.
You are responsible for obtaining and maintaining your own domain name and ensuring it points correctly.
You grant us a royalty-free, worldwide licence to use, reproduce, modify, and display Customer Content solely for providing the Services.You indemnify us fully against any claims, losses, damages, costs (including legal costs on an indemnity basis), or liabilities arising from your breach of these obligations or Customer Content.5. Intellectual PropertyWe (or our licensors) retain all right, title, and interest in our templates, designs, code, know-how, and materials ("Pagie IP").
Upon full payment of the Setup Fee and while your Monthly Subscription remains active and paid, we grant you a limited, revocable, non-exclusive licence to use the microsite for your business purposes.
You may not copy, modify, reverse-engineer, sell, sublicense, or transfer the site or Pagie IP.
Upon termination or cancellation, your licence ends immediately. We may disable or take down the site without further notice. You are responsible for exporting any data beforehand.We may use de-identified screenshots or descriptions of client sites for marketing, unless you expressly opt out in writing.6. Hosting, Uptime, and SupportWe aim for high availability but do not guarantee 100% uptime. Hosting is provided "as is".
Scheduled maintenance will occur with reasonable notice where possible.
Support is limited to technical issues with the site we built. Response times are reasonable (typically within 1-2 business days). Advanced customisations or content changes may incur extra fees.
You must keep your contact details up to date.7. Termination and CancellationYou may cancel the Monthly Subscription at any time via email. Cancellation takes effect at the end of the current billing period. No refunds for partial months.
We may terminate or suspend Services immediately if:
You breach these Terms.
You fail to pay any fees.
We reasonably believe your use violates laws or harms our reputation.
For convenience, with 14 days' notice.Upon termination, all outstanding fees become immediately due. Sections on IP, indemnity, liability, and governing law survive termination.8. Warranties and DisclaimersTo the maximum extent permitted by law:Services are provided "as is" and "as available" without any warranties (express or implied), including merchantability, fitness for purpose, or non-infringement.
We do not warrant that the site will be error-free, secure from all threats, generate leads, or meet your specific requirements beyond the basic template customisation.
You rely on the Services at your own risk.Australian Consumer Law (ACL): Nothing in these Terms excludes non-excludable consumer guarantees under the ACL. Our liability for breach of such guarantees is limited (at our option) to re-supplying the Services or paying the cost of re-supply.9. Limitation of LiabilityTo the fullest extent permitted by law, our total aggregate liability to you under any claim (in contract, tort, statute, or otherwise) is limited to the total fees paid by you in the 12 months preceding the claim.
We are not liable for any indirect, consequential, incidental, special, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility.
This limitation does not apply to liability that cannot be excluded by law (e.g., fraud, death/personal injury).10. Privacy and DataWe handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By using our Services, you consent to this and warrant that you have obtained all necessary consents for any customer data you provide to us.11. General ProvisionsForce Majeure: We are not liable for delays or failures due to events beyond our reasonable control (e.g., cyberattacks, hosting provider failures, natural disasters, regulatory changes).
Changes to Terms: We may update these Terms with notice (via email or website). Continued use constitutes acceptance. Material changes will be notified.
Severability: If any part is unenforceable, the rest remains in effect.
Assignment: You may not assign or transfer your rights without our prior written consent. We may assign freely.
Entire Agreement: These Terms (plus any written order confirmation and our Privacy Policy) constitute the entire agreement. No other representations apply.
